The purpose of the company is the development, marketing and sale of pharmaceutical and biotechnology products on its own account and on behalf of third parties, particularly in Switzerland. The company can provide services in these areas, particularly in the field of clinical trials. The company can set up branches and subsidiaries in Switzerland and abroad. It can also acquire and exploit intangible rights and participate in other companies, especially those in the pharmaceutical and biotechnology sectors, take on representations and carry out any business activity and conclude contracts of any kind that may be conducive to the company's purpose or that are directly or indirectly related to the company's purpose. The company can acquire, hold, manage, encumber and sell real estate in Switzerland and abroad. This does not include transactions that are prohibited by the Federal Act on the Acquisition of Real Estate by Persons Abroad (BewG). The company is part of a group and can take the interests of the group into account when pursuing its corporate purpose. In particular, the Company may grant loans and other direct or indirect financing to its direct and indirect subsidiaries and to third parties, including its direct and indirect shareholders and their direct and indirect subsidiaries, including within the framework of cash pooling agreements (including zero balancing), and provide all types of security for the liabilities of these parties, including by means of liens on or fiduciary transfers of assets of the Company or guarantees of any kind. This may also be done without consideration, under preferential conditions, without interest, excluding the Company's profit-making and/or by taking on concentration risks.
